This Software, any on-line or electronic files and any and all copies of such Software and materials are the copyrighted work of the legal owners of myElectrical.com (hereafter refered to as The Developer). All use of the Software is governed by the terms of this Agreement, which is provided below. Any use, downloading, reproduction or redistribution of the Software not in accordance with the terms of the Agreement is expressly prohibited. The Developer retains all title to and ownership of the Software and reserves all rights not expressly granted to you. International copyright treaties and conventions protect the Software.
You are granted the right to use all or a portion of this software, provide it is run interatively from from the server to which it has been uploaded and that no part of the software is downloaded to your local computer system. You may not, in whole or in part, copy, photocopy, reproduce, translate, reverse engineer, derive source code, modify, disassemble, decompile or remove any proprietary notices or labels on the Software without the prior consent, in writing of The Developer. You are entitled to use the Software for your own use, but you are not entitled to: (i) sell or grant a security interest in or transfer reproductions of the Software to other parties in any way, nor to rent, lease or license the Software to others without the prior written consent; (ii) exploit the Software or any of its parts for any commercial use (a separate Site License Agreement to permit you to make the Software available for commercial use may be offered; contact The Developer for details).
You hereby agree that The Developer would be irreparably damaged if the terms of this License Agreement were not specifically enforced, and therefore you agree that The Developer's shall be entitled, without bond, other security, or proof of damages, to appropriate equitable remedies with respect to breaches of this Agreement, in addition to such other remedies as The Developer may otherwise have available under applicable laws. In the event any litigation is brought by either party in connection with this License Agreement, the prevailing party in such litigation shall be entitled to recover from the other party all the costs, attorneys' fees and other expenses incurred by such prevailing party in the litigation.
The Developer does not represent or make any warranty in respect of the accuracy, reliability or continuous supply of this software. Any reliance you place upon the software will be at your sole risk and it is solely your responsibility to ensure that the software meets your requirements. The Developer reserves the right in its sole discretion, but without any obligation, to make amendments or improvements to, or withdraw or correct any error or omission in any portion of, the Software without notice. The software is provide by The Developer on an "as is" basis, and The Developer expressly disclaims any and all warranties, express or implied, including without limitation warranties of satisfactory quality, merchantability and fitness for a particular purpose, with respect to the software. The Developer hereby excludes liability for any claims, loss, demands or damages of any kind whatsoever with respect to the service, the materials and the products including, without limitation, direct, indirect, incidental or consequential loss or damages, whether arising from loss of profits, loss of revenue, loss of data, loss of use or otherwise and whether or not the possibility of such loss has been notified to The Developer. The foregoing will apply whether such claims, loss or damages arise in tort, contract, negligence, under statute or otherwise.
No distributor, dealer or any other entity or person is authorized to expand or alter any provisions of this Agreement. The Developer does not warrant that the functions contained in the Software will meet your requirements or that the operation of the Software will be uninterrupted or error-free or free from malicious code. For purposes of this paragraph, "malicious code" means any Software code designed to contaminate other computer Softwares or computer data, consume computer resources, modify, destroy, record, or transmit data, or in some other fashion usurp the normal operation of the computer, computer system, or computer network, including viruses, Trojan horses, droppers, worms, logic bombs, and the like. You assume full responsibility for the selection of the Software to achieve your intended results, and use and results obtained from the Software. You also assume the entire risk as it applies to the quality and performance of the Software. Should the Software prove defective, you (and not The Developer) assume the entire cost of all necessary servicing, repair or correction. The Developer encourages you to exercise discretion while using the software.
If any provision of this Agreement is deemed invalid or unenforceable by any country or government agency having jurisdiction, that particular provision will be deemed modified to the extent necessary to make the provision valid and enforceable, and the remaining provisions will remain in full force and effect. You hereby acknowledge that you have read and understand the foregoing Agreement and agree that the action of using the Software is an acknowledgment of your agreement to be bound by the terms and conditions of the License Agreement contained herein. You also acknowledge and agree that this Agreement is the complete and exclusive statement of the agreement between you and Developer and that the Agreement supersedes any prior or contemporaneous agreement, either oral or written, and any other communications between you and Developer.
